End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “You”) and Jolii.ai (“Company,” “we,” “our,” or “us”) governing your access to and use of the Jolii.ai software and services, including any associated media, printed materials, and online or electronic documentation (collectively, the “Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install, access, or use the Software.

You agree not to:

Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent expressly permitted by applicable law.

Rent, lease, sublicense, sell, distribute, or otherwise transfer the Software to any third party.

Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.

Use the Software to develop or operate any application or service that is competitive with Jolii.ai.

Use the Software in any manner that violates any applicable local, state, national, or international law or regulation.

3. Ownership and Intellectual Property

The Software is protected by copyright, trademark, and other intellectual property laws. Jolii.ai retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any ownership rights in the Software, and you acknowledge that all rights not expressly granted herein are reserved by Jolii.ai.

4. Updates and Upgrades

Jolii.ai may, from time to time, provide updates, upgrades, or enhancements to the Software (“Updates”). These Updates may include bug fixes, patches, new features, or improvements to the Software. You agree that Jolii.ai has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality of the Software. If Jolii.ai provides an Update, it shall be subject to the terms of this EULA unless otherwise provided by Jolii.ai.

5. Data Collection and Privacy

By using the Software, you agree that Jolii.ai may collect and use certain information about your use of the Software, in accordance with our Privacy Policy. This information may include personal data, usage data, and other data necessary for the operation and improvement of the Software. Please refer to our Privacy Policy for more details on how we collect, use, and protect your data.

The use of raw or derived user data received from Workspace APIs will adhere to the Google User Data Policy, including the Limited Use requirements.

6. Term and Termination

This EULA is effective from the date you first install, access, or use the Software and will continue until terminated by either party. You may terminate this EULA at any time by uninstalling and ceasing all use of the Software. Jolii.ai may terminate this EULA immediately and without notice if you violate any provision of this EULA.

Upon termination of this EULA, you must cease all use of the Software and destroy all copies of the Software in your possession. The provisions of Sections 3, 5, 6, 7, 8, 9, and 10 shall survive termination of this EULA.

7. Disclaimers

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JOLII.AI DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOLII.AI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF JOLII.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JOLII.AI’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE, IF ANY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Jolii.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Software, your violation of this EULA, or your violation of any third-party rights.

10. Governing Law and Dispute Resolution

This EULA and any disputes arising out of or related to this EULA or the Software will be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Any disputes arising out of or relating to this EULA or the Software will be resolved through binding arbitration in accordance with the rules of the Singapore International Arbitration Centre, except that you may assert claims in small claims court if your claims qualify.

11. General Provisions

Severability: If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: The failure of Jolii.ai to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

Entire Agreement: This EULA constitutes the entire agreement between you and Jolii.ai regarding the Software and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral, relating to the Software.

Assignment: You may not assign or transfer this EULA, in whole or in part, without Jolii.ai’s prior written consent. Jolii.ai may assign this EULA without restriction.
